Welcome to TalkNew, a service provided by TalkNew (the "Business" or "TalkNew"). By having the TalkNew account or accessing the TalkNew software on a mobile device, mobile browser or computer (collectively, the "Service"), you agree to be bound by the Terms of Use, which are integrated by reference into this Agreement and are available in the Service Agreement. Please do not use the Service if you do not understand and intend to be bound by any of the provisions of this Agreement.

Acceptance of the Terms of Service Agreement

• This Agreement is a legally binding electronic document that you must recognize in order to access the Service.
• We provide a tool for filtering out inappropriate content. Any conversation of an user finds unacceptable can be recorded. We automatically delete the conversation for the user and, following an inspection, take the appropriate measures against the conversation and the user who are identified within 24 hours.
• We provide a tool for filtering out inappropriate content. If a user gives the other user thumbs down, he or she will never be linked again.
• We've set up a system for users to report objectionable content. Following that, the caller will send thumbs down and flag some inappropriate behavior in call comments.
• We have a way for users to ban disrespectful users by showing them thumbs down.
• We respond to reports of inappropriate material within 24 hours. Removing the objectionable material and ejecting the person who provided it.
• We reserve the right to modify this Agreement at any time and for any reason. This may be done for a number of purposes, such as to illustrate improvements in or provisions of the legislation, new features, or changes in business practices. The most recent update of this Agreement will be available on the Services under Settings as well as at www.TalkNew.in , and you can search for it on a daily basis. The most recent update is the one that is applicable. If the updates require substantive changes that impair your rights or responsibilities, we will contact you by fair means, which could include notification via the Services or by email. If you plan to use the Services after the modifications go into effect, you will be considered to have approved them. If you do not consent to these amendments, you must terminate your agreement with us by discontinuing use of the Services and quitting TalkNew.
• Possibility to build an account on TalkNew and use the Services, you must be at least 13 years old. Through making an account and using the Service, you reflect and warrant that you are of legal age to form a contractual contract with TalkNew, that you are not barred from using the Service in any relevant jurisdiction (for example, you are not on the U.S. Treasury Department's list of Specially Appointed Nationals or face any other equivalent prohibition), and that you will comply with this Agreement as well as any and all existing local, federal, national, and international legislation, rules, and regulations. You signify and warrant that you have never been convicted of a crime and that you are not obligated to register as a sex offender with any state, federal, or municipal sex offender registry if you open an account.
• Making a TalkNew account. To use TalkNew, you must first have or build a Facebook account and then sign in with your Facebook username or mobile phone. If you log in via Facebook, you grant us permission to view and use some Facebook account material, including but not limited to your public Facebook profile. Please see our privacy policy for more detail about the information we receive from you and how we use it.
• Termination and term when you use the Service and/or have a TalkNew account, this Agreement will stay in full power and effect. You can cancel your account at any time, for any reason, by following the instructions in the Service's "Profile." If the corporation assumes, at its absolute discretion, that you have violated this Agreement, it can terminate or cancel your account at any time without warning. You would not be entitled to a refund on any unused payments for in-app transactions if your account is terminated or suspended.
• Users' Non-commercial Use. The Service is strictly for personal use. Users should not use the Service or any information contained in the Service (including, but not limited to, other users' content, templates, text, graphics, photographs, video, logos, applications, and machine code) in conjunction with any commercial endeavors, such as ads soliciting any customer to purchase or sell any goods or Services that the organization does not provide. Users of the Service can not touch, advertise to, solicit, or offer to any other customer without his/her prior expressed permission.
• Account safety. You are solely responsible for all events that exist under your Facebook login credentials that you used to sign up for TalkNew, and you are solely responsible for protecting the confidentiality of those credentials. You promise to promptly contact the organization at support@talknew.in of any leak or improper use of your login credentials.
• Interactions with Other Users.
  You are solely responsible for your experiences with other users. You are aware that the company does not currently do criminal background checks on its users. The company still does not verify its users' statements. The company makes no representations or warranties about user conduct or compatibility with any current or future users. The company reserves the right to do any criminal background check or other screenings (such as sex offender register searches) at any time and with any public records available. The corporation is not liable for any user's actions. In no event shall the company, its affiliates, or its partners be liable (directly or indirectly) for any losses or damages of any kind, whether direct, indirect, general, special, compensatory, consequential, or incidental, arising out of or relating to you or anyone else's conduct in connection with the use of the service, including, without limitation, death, bodily injury, emotional distress, or financial loss. You agree to take all appropriate measures in all communications with other users, especially if you wish to chat outside of the service, meet in person, or transfer money to another user. Furthermore, prior to using the programme, you commit to follow the company's safety tips, which are located in the service. You should not give other users your financial details (for example, your credit card or bank account information), nor should you wire or otherwise transfer money to them.
  Predators can be found almost everywhere. It is strongly recommended that users should not post any personally identified or sensitive details on the website. It is also recommended that users should not agree to meet offline.
• Inventive and non-inventive rights
  The corporation holds and maintains all patent interests in the operation, as well as all related intellectual property rights. The service includes the company's and its licensors' intellectual content, patents, and other proprietary details. You consent not to copy, alter, share, create derivative works from, use, or reuse any copyrighted content, trademarks, trade names, or service marks in any manner. Or other intellectual property or proprietary knowledge available through the service, without first receiving the prior written permission of the corporation or, whether that property does not belong to the company, the holders of such intellectual property or proprietary rights. You consent not to delete, obscure, or otherwise change any copyrighted notices, including copyright, trademark, and other intellectual property notices, that appear on any material.
• You have posted content in the service.
  
  • There is no tolerance for objectionable content or abusive users
  • You are solely responsible for the content that you post, upload, publish, link to, transmit, record, display, or otherwise make available (collectively, "post") on the service or transmit to other users, including text messages, chat, videos, photographs, or profile text, whether publicly posted or privately transmitted. You agree not to post or transmit to the Company or any other user (on or off the Service) any offensive, inaccurate, incomplete, abusive, obscene, profane, threatening, intimidating, harassing, racially offensive, illegal material, or material that infringes or violates the rights of another person (including intellectual property rights and rights of privacy and publicity).
  • You represent and warrant that (i) all information submitted upon account creation, including information submitted from your Facebook account, is accurate and truthful, and that you will promptly update any information provided by you that subsequently becomes inaccurate, incomplete, misleading or false and (ii) you have the right to post the Content on the Service and grant the licensors permission to do so.
  • You understand and accept that the Company has the right, but not the obligation, to log, archive, track, or check any Content you publish or distribute as part of a Service. The Company reserves the right to withdraw any Material, in whole or in part, that, in the Company's sole discretion, breaches this Agreement or could damage the integrity of the Service or the Company.
  • You offer TalkNew a global, transferable, sub-licensable, royalty-free right and license to host, store, use, download, view, replicate, adapt, edit, write, alter, distribute, and monetize the Content by uploading it as part of the Service. This license is only for the purpose of running, creating, delivering, supporting, and expanding the Service, as well as studying and developing new ones.
  • In addition to the types of Content mentioned in Section above, the following is a partial list of Content that is not permitted in the Service. You are not permitted to publish, upload, view or otherwise render available any content that:
    • advocates prejudice, discrimination, hate or physical damage of some sort towards any group of people
    • encourages coercion or bullying of another person; and solicits money from or intends to defraud, other customers of the Services:
    • spams or solicits users of TalkNews
    • promotes deceptive or misleading material, or unlawful activities or behavior that is defamatory, libelous or otherwise intolerable.
    • promotes an illegal or infringing reproduction of another person's copyrighted work, such as supplying pirated computer applications, photographs, audio, or video files, or links to the:
    • includes film, audio, photos, or pictures of another person without his or her consent (or, in the case of a juvenile, without the minor's legal guardian's permission).
    • have limited or password-protected access websites, secret pages, or photographs (those not linked to or from another accessible page).
    • offers content that sexually, violently, or even illegally assaults individuals, or solicits sensitive information from someone under the age of 18;
    • provides educational knowledge on unlawful acts such as manufacturing or purchasing illegal guns or narcotics, breaching someone's privacy, or providing, disseminating, or producing computer viruses:
    • include malware, time bombs, Trojan horses, cancel bots, worms, or other potentially dangerous or destructive codes, parts, or devices:
    • impersonates or otherwise misrepresents affiliation, interaction, or connections with another individual or entity; • M. contains facts or dates that you do not have a legal or statutory or fiduciary right to make available; (such as inside information, proprietary and confidential information).
    • solicits passwords or personal identification details from other users for economic or illegal reasons, or disseminates another person's personal information without his or her consent.
    • The Company retains the power, at its own discretion, to investigate and prosecute anybody that breaches this clause, by deleting the offending message from the Service and disabling or suspending those violators' accounts.
    The use of the Service, and all Content you publish to the Service, must be in accordance with all relevant laws and regulations. You agree that the Company can access, preserve, and disclose your account information and Content if required by law or in the good faith belief that such access, preservation, or disclosure is reasonably necessary, such as to: (i)comply with legal process; (ii)enforce this Agreement; (iii)respond to claims that any Content violates the rights of third parties; (iv) refer to your customer support requests or encourage you to use the Service in the future: or and (iv) respond to your requests. You accept that any Content you post on the Service can be accessed by other users and by anyone who visits or participates in the Services (such as individuals who may receive shared content from other TalkNew users)

  Confirmation of their data processing:
  Access to their personal information and other information that largely correlates to the information that should be included in the privacy notice. TalkNew allows users to revisit and change the date they shared with TalkNew at any time from their profile page. The following information is given to users:
  Name (user can see this on profile page and change it from there) Photograph (user can see this on profile page and change it from there) The location (user can see this on profile page and change it from there), Structured schooling (user provides this date themselves by connecting either Facebook \or Linkedin), Work Experience (User provides this date themselves by Connecting either Facebook or Linkedin), Gender, Date of Birth, Short Bio, Book of Contacts for data processing, TalkNew does not exchange any personally identifying information with any of their third-party data processors.
  The right to be corrected:
  Individuals have the right to have their personal information corrected whether it is incorrect or missing. TalkNew helps people to change all of the data they have. Anything that the user believes they are unable to alter can be edited manually by writing to support@talknew.in Erasure rights/Right to be forgotten:
  Individuals have the rights to have all data pertaining to them deleted by the controllers. TalkNew requires people to manually order deletion of their portion of full data on TalkNew by emailing support@talknew.in The rights to processing restraint
  The date In the case of incorrect or wrongly accessed data, the subject has the right to ‘block' or suppress transmission of those subsets of their personal data. When processing is limited, you can save the personal data but not further process it.
  TalkNew maintains that all user data is collected only with the user's consent. Even after that, if a user wishes to limit any processing, he or she can do so by sending an email to support@talknew.in Rights about automatic decision making and profiling
  The GDOR (or GDPR) prohibits automatic decision-making without human interference under some cases, especially where the decision has a legal or similarly important impact on the person. As of now, TalkNew does not use automatic decision making. Both decisions are made in accordance with human-defined laws.
• Prohibited Behaviors: The Company retains the right to prosecute, cancel, and/or terminate your account if you abuse the Services or behave in a manner that the Company considers objectionable or illegal, even acts or communications that occur off the Service but include people you encounter via the Services. The below is a partial list of the types of actions you cannot take in relation to the Service:
  • Use obscene words.
  • Objectionable content should not be posted or transmitted.
  • Impersonate someone or something.
  • Solicit money from any or all consumers.
  • Post any material that is not permitted.
  • “Talk” or otherwise threaten someone.
  • Without our prior written permission, you cannot express or suggest any claims are approved by the Company.
  • Use the Services in an unauthorized way or to perform an unauthorized act.
  • Accessing the Service in a state where it is unlawful or prohibited.
  • Use any robot, worm, web search/retrieval tool, or other manual or automated system or mechanism to retrieve, catalogue or otherwise recreate or bypass the Service's navigational layout or presentation.
  • Collecting other users' personal details by electronic or other means for the purpose of sending unsolicited email or illegal framing or connecting to the Service.
  • Interfere with or interrupt the Service or the servers or networks to which it is connected.
  • Transmit any content containing software viruses or other programming code, files, or programmes intended to disrupt, disable, or limit the functionality of any computer software, hardware, or telecommunications equipment.
  • Forge headers or similarly exploit identifiers in order to conceal the sources of any knowledge transmitted to or via the Service (either explicitly or indirectly through the usage of third-party software) Without the Company's prior written permission, you cannot "frame" or "mirror" any portion of the Service.
  • Use meta tags, code, or other devices containing some reference to the Company or the Business (or any trademark, trade name, service mark, branding, or slogan of the Company) to guide someone to some other website for some reason.
  • Any software used on or with the Service cannot be modified, adapted, sublicensed, translated, sold, reverse engineered, deciphered, decompiled, or otherwise disassembled. or persuade others to do so Post, use, send, or publish, directly or implicitly (e.g., screen scrape), any material or information accessed from the Service in any manner or medium other than in conjunction with the use of the Service in compliance with this Agreement.
• Customer care. Via the customer service agents, the company offers assistance and advice. You promise to be courteous and polite when dealing with our customer service staff. We reserve the right to instantly terminate your account if we believe your conduct against either of our customer service staff or other employees is threatening or insulting at any time.
• Purchases made inside the app:
  
  • In general. TalkNew can, from time to time, make additional products and services available for purchase ("1n app sales”) via the App Store, Google Play, or other application platforms allowed by TalkNew. If you want to make an in app purchase, you will be prompted to enter information about your account with the mobile platform you are using (e.g., Apple, Android, etc.) ("your IAP Account), and your IAP Account will be charged for the in app purchase in accordance with the terms disclosed to you at the time of purchase as well as the general terms for in app purchases that apply to your IAP Account. If you buy an auto-recurring periodic subscription with an in-app payment, your IAP Account will be charged for the subscription before you cancel. Following the original subscription contract period, and then following each future subscription period, the subscription would automatically renew for an extended equal period at the price you committed to when subscribing. If you do not want your account to renew instantly, or if you want to change or cancel it. To cancel your subscription, log in to your IAP account and follow the instructions. If you cancel your subscription, you will continue to use it until the expiration of your then-current subscription term; your subscription will not be extended after the end of your then-current term. You would not, though, be entitled to a prorated refund of any part of the subscription fee charged during the then-current subscription duration.   • Virtual Credits and Other Things: You will be able to buy a small, confidential, non-transferable, non-sub licensable, revocable license to use "virtual Products" from time to time using "real world" currency. Credits are used, but are not limited to (collectively, "Virtual Items). You can only buy Virtual Items from us or our registered partners through the Service and not in any other way. Purchase and use of Virtual Items through a Software Store is subject to the terms of service and privacy policy of that Software Store.
    Virtual Items, regardless of terms, reflect a restricted license right regulated by this Agreement. Except where prohibited by statute, Virtual Items acquired by you are licensed to you, and you agree that no title or copyright in or to Virtual Items is transferred or delegated to you. This Agreement is not intended to be seen as a selling of the interests in Virtual Products. Any Virtual Item balance shown in your account is not a real-world balance or a representation of any stored value, but rather a reflection of the scope of your license.
    The license given to you in Virtual Items will expire in compliance with the terms of this Agreement until TalkNew stops delivering the Service or your Account is otherwise terminated. TalkNew retains the right, at its own discretion, to charge premiums for the right to view or use Virtual Items and/or to sell Virtual Items for free or for a premium. At any time, TalkNew can handle, monitor, govern, alter, or remove Virtual Items. In the case that TalkNew exercises any of these privileges, TalkNew will have no responsibility to you or any third party.
    Digital object transfers are forbidden, and you cannot sell, redeem, or otherwise move virtual products to another individual or organization. Only via the programme can virtual objects be redeemed. Both virtual items purchases and redemptions made through the service are final and non-refundable. The supply of virtual objects for use of the Service is a service offered by TalkNew that begins immediately upon receipt of the order for such Virtual object. You agree to pay all costs and related charges through your TalkNew account. TalkNew reserves the right to adjust the prices for the goods and services sold by the Service at any moment. You agree that Talknew is not required to have a refund for any reason, and that you will not get money or other compensation for unused virtual items until an account is closed, whether voluntary or involved.
• Service Modifications The Company retains the right, with or without warning, to change or discontinue the Service (or any portion thereof) at any time. You accept that the Company would not be responsible to you or any third party if the Service is changed, suspended, or discontinued. To protect the reputation of the Service, the Company retains the right, at its own discretion, to exclude users from specific IP addresses from accessing the Service at any time.
• Copyright Policy; Notice and Procedure for filing Copyright Violation Claims: You can not publish, distribute, or reuse patented content, trademarks, or other proprietary knowledge in any manner without the written permission of the holders of those proprietary rights. If you feel that your work has been copied and posted on the Service in a way that violates your rights, please send the following details to our Copyright Agent:
  • An electronic or physical signature of the person allowed to operate on behalf of the owner of the copyright interest, as well as a summary of the allegedly infringed copyrighted work;
  • A summary of where the allegedly infringing content is found on the Service (The description must be adequate to allow the Company to identify the allegedly infringing material, such as a URL);
  • Your title, phone number, and email address;
  • A written letter from you stating that you have a good faith that the contested usage is not approved by the copyright holder, it’s representative or the rule of law: and a declaration made under penalty of perjury by you that the above details in your notice is correct and that you are the copyright owner or have authority to act on the copyright owner's behalf.
  • Notice of copyright infringement charges should be sent to the Company's Copyright Agent at support@talknew.in. Repeat infringers' accounts would be terminated by the Company.
• Disclaimers are issued:
  
  • You acknowledge and agree that neither the Company nor its affiliates or third-party partners are liable, directly or indirectly, for any loss or damage, including personal injury or death, caused by or alleged to be caused by any incorrect or inaccurate Content posted in the Service, whether caused by users or any of the equipment or software. Any mistake, omission, or fault in any disruption, deletion, modification, delay in service or delivery, theft or degradation of, or unwanted access to any user or user communications; or any issues, breakdown, or mechanical malfunction of any telephone network or cables, electronic online services, servers or suppliers, or computer equipment.
    Software, loss of email or plays as a result of technological glitches or traffic congestion on the Internet or at any website, or any combination thereof, or injuries or harm to users or to any other person's machine or device as a result of engaging in or installing materials in conjunction with the Internet and/or the Service. To the maximum extent permitted by applicable law, the company provides the service "as is" and "as available" and makes no warranties of any kind, express or implied.
    Statutory or otherwise about the service (and all content included therein), including (without limitation) all implied warranties of satisfactory quality.
    Non-infringement, merchantability, or fitness for a particular purpose the company makes no representations or warranties that the service will be uninterrupted or error free, safe, or that defects or errors in the service will be corrected.
  • Any material downloaded or otherwise obtained by the use of the service is accessed at your own discretion and risk, and you will be solely responsible for, and hereby waive, any and all claims and causes of action in respect of any damage to your device, computer system, internet access, down or data loss or corruption as a result of or possible result of the download of some such content. You are not allowed to download or obtain any material via the service if you do not accept this limitation of liability.
  • The Company can, from time to time, make third-party views, recommendations, announcements, deals, or other third-party information or material accessible via the Service. Any third-party material is the sole responsibility of the respective creators of that content.
  • The company does not: (i) guarantee the accuracy, completeness, or usefulness of any third party content provided by the service, or (ii) adopt or endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by any party that appear. In no event will the company or its affiliates be responsible or liable for any loss or damage arising from your reliance on information or other content posted in the service, or transmitted to or from any users.
• Hyperlinks: Advertisements and discounts provided by third parties, as well as links to other websites or services, must be included in the Service, and the Service or third parties may include them. You understand and accept that the Company is not liable for the availability of certain third-party websites or services and does not support or accept responsibility or liability for any content, documents, claims, advertisement, products or services, or other materials on or accessible via such websites or tools. Your communications or commercial relations with third parties found in or around the Service, as well as your interest in their promotions, are entirely between you and such third party. You also understand and accept that the Company is not responsible or liable, directly or indirectly, for any harm or damage caused or claimed to be caused by or in connection with the use of, or dependence on, any such content, documents, comments, ads, products or services, or other materials accessible on or via any such website or resource.
• Liability Restriction: In no event will the business, to the fullest extent permitted by applicable law, its affiliates, business partners, licensors, or service providers be liable to you or any other person for any indirect, reliance, consequential, exemplary, incidental, special, or punitive damages, including loss in profits and goodwill damages for loss, corruption, or breach of data or programs, service interruptions, and the cost of substitute services, even though the company has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, the company's liability to you for some cause whatsoever, and regardless of the form of action, would at all times be limited to the amount paid, if any, by you to the company for the service while you have an account some jurisdictions d0 not allow the exclusion or any or more of the exclusions and limitations in this section do not apply to you because of the limitation of such damages.
• Arbitration and Applicable Law
  
  • Any action to implement this arbitration arrangement, including actions to affirm, amend, or vacate an arbitration award, can be brought in any court of competent jurisdiction. If this settlement arrangement is found to be unenforceable for whatever cause, any lawsuit against the Company (except for small-claims court actions) can be brought only in the Indian law and the courts of Coimbatore, Tamilnadu. You hereby irrevocably commit to the authority of certain courts for the purposes of this agreement.
  • This Agreement, as well as any disputes between you and the Company. The Indian laws shall rule, without respect to rules of conflict of law.
• You are providing indemnity. You agree to indemnify and hold the Company, its subsidiaries and affiliates, and their officers, agents, partners, and employees harmless for any loss, liability, claim, or demand made by any third party due to or arising out of your breach of or failure to comply with this Agreement (including any breach of your representations and warranties included herein) any posting or content you publish in the service, as well as the breach of any statute or rule. The Corporation has the right to claim sole protection and oversight over any matter otherwise liable to indemnification by you, in which case you will completely comply with the company.
• This Company can send you updates, including those about amendments to this Agreement, through any appropriate means, such as email, SMS, MMS, text messaging, or posting on the Service. If you break this Agreement by using the Service in an inappropriate way, you will not obtain such warnings. You consent to be considered to have issued any and all notices that would have been sent if you had used the Service in an authorized manner.
• Other than that, the whole agreement. This Agreement, along with the Privacy Policy and any applicable requirements or regulations posted separately for specific programmes or deals in the Service. The entire arrangement between you and the Company about the use of the Service is included in this document. If any provision of this Agreement is found to be void, the remainder of this Agreement shall remain in full force and effect. The Company's refusal to exercise or implement any right or provision of this Agreement shall not be construed as a waiver of such right or provision. You accept that your TalkNew account is non-transferable, and that all access to your profile or the contents of your TalkNew account expire upon your death. This Agreement does not constitute any entity, association, joint venture or job, and you do not make any claims or tie the company in any way.

You, the customer, can cancel this Agreement at any time prior to midnight on the next business day following the original date of this contract, except Sundays and holidays, without liability or obligation. Please take these steps to void this deal.

If you signed up for TalkNew for your Google Play Store account:

Please supply us with the order number by tapping the “Contact Us” button at the bottom of the “profile” Section on The TalkNew app. The order number can be found in the order confirmation email from the Google Play Store.

If you die before the expiration of your subscription term, your will is entitled to a refund of the portion of the charge you made for your subscription that is allocable to the period after your death. If you become disabled (such that you are unable to use the services of TalkNew) by the end of your subscription period, you shall be entitled to a refund of the portion of any payment you have made for your subscription that is allocable to the period of your disability by providing the company notice at the same address as your subscription.
